Agreement to Terms

These Terms of Use (“Terms”) constitute a legally binding agreement entered into by and between you, whether acting individually or on behalf of an entity (“you” or “User”), and Jimmy Tavares EI, doing business as The Webonaut (“The Webonaut” or “Site operator”), governing your access to and use of the website located at https://thewebonaut, including all related media forms, channels, mobile websites, and applications linked thereto (collectively, the “Site”). The Webonaut is registered at the chamber of commerce  in France under the registration number 95136819000017. By accessing or using the Site, you acknowledge that you have read, understood, and agreed to be bound by these Terms in their entirety. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND MUST CEASE ALL USE IMMEDIATELY.

Supplemental terms, conditions, or documents that may be posted on the Site from time to time are hereby incorporated herein by reference. The Site operator reserves the exclusive right, at its sole discretion, to amend, modify, update, or revise these Terms at any time. Notification of changes will be effectuated by updating the “Last Updated” date at the top of these Terms. Users waive any right to receive specific or direct notice of such modifications. It is the user’s responsibility to review the Terms prior to each use of the Site to ensure awareness of the current binding terms. Continued use of the Site following any changes constitutes acceptance of such changes.

The information and materials provided on the Site are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would be unlawful or would subject the Site operator to any registration or licensing requirements. Users who access the Site from locations outside France do so at their own initiative and bear sole responsibility for compliance with applicable local laws.

The Site is not designed or intended to comply with industry-specific regulatory standards such as the Health Insurance Portability and Accountability Act (HIPAA), the Federal Information Security Management Act (FISMA), or any similar laws. Use of the Site in connection with activities subject to such laws is strictly prohibited. Use of the Site in violation of the Gramm-Leach-Bliley Act (GLBA) is expressly forbidden.

Users who are minors (typically under 18 years of age in their jurisdiction) must have explicit consent from a parent or legal guardian and must be directly supervised when using the Site. Minors must ensure their parent or guardian reads and agrees to these Terms prior to use.

Intellectual Property Rights

Unless explicitly stated otherwise, all content and materials available on the Site, including but not limited to source code, databases, software, designs, audio, video, text, photographs, graphics (collectively “Content”), as well as all trademarks, service marks, logos, and trade dress (“Marks”), are proprietary to the Site operator or licensed to it and protected under copyright, trademark, trade secret, unfair competition, and other applicable laws. The Content and Marks are provided on an “AS IS” basis solely for your personal, non-commercial use.

Except as expressly permitted herein, no Content or Marks may be copied, reproduced, republished, uploaded, posted, transmitted, distributed, sold, licensed, or otherwise exploited without prior express written consent from the Site operator.

Subject to compliance with these Terms, a limited, revocable, non-exclusive license is granted to access and use the Site and to download or print a single copy of Content solely for personal, non-commercial use. All other rights are expressly reserved.

User Representations

By accessing or using the Site, you represent and warrant that:

  1. You have the legal capacity and authority to agree to these Terms and to use the Site;
  2. You are not a minor in your jurisdiction or, if you are, you have obtained parental or guardian consent as required herein;
  3. You will not access the Site through automated or non-human means (e.g., bots, scrapers);
  4. You will not use the Site for any unlawful, unauthorized, or prohibited purpose;
  5. Your use of the Site will not violate any applicable laws, statutes, ordinances, or regulations.

If any information provided is false, inaccurate, outdated, or incomplete, the Site operator reserves the right to suspend or terminate access immediately.

Prohibited Activities

The Site may not be used for any purpose other than as expressly authorized. Commercial activities require explicit approval from the Site operator.

Without limitation, users agree not to:

  • Systematically extract data or content to create or compile any database or directory without written permission;
  • Mislead or defraud the Site operator or other users, especially attempts to obtain sensitive account information;
  • Circumvent or interfere with Site security features, usage restrictions, or copyright protections;
  • Defame, disparage, or harm the Site operator or the Site;
  • Use information from the Site to harass or harm others;
  • Abuse support services or submit false abuse reports;
  • Use the Site contrary to applicable laws or regulations;
  • Engage in unauthorized framing or linking of the Site;
  • Upload or transmit viruses, malware, spam, or disruptive content;
  • Use automated tools such as bots, spiders, or scrapers without authorization;
  • Remove copyright or proprietary notices from Content;
  • Impersonate others or use usernames of others;
  • Transmit tracking or passive data collection devices (“spyware” or “web bugs”);
  • Disrupt or overload the Site or its associated networks;
  • Harass or threaten employees or agents;
  • Attempt to bypass access restrictions;
  • Copy, adapt, or reverse-engineer Site software except as permitted by law;
  • Use the Site to compete with the Site operator or for any commercial venture;
  • Use the Site to advertise or sell goods or services without authorization.

User-Generated Contributions

The Site may offer features allowing users to submit content including but not limited to text, video, audio, images, comments, or other materials (“Contributions”). Contributions may be visible to other users or publicly accessible. Contributions must comply with these Terms and the Privacy Policy.

By submitting Contributions, you represent and warrant that:

  • You own or have valid licenses to all intellectual property rights in your Contributions;
  • You have obtained all necessary consents and releases from any identifiable persons included in your Contributions;
  • Your Contributions do not infringe on the rights of any third party;
  • Your Contributions are truthful and not misleading;
  • Your Contributions do not contain illegal, obscene, defamatory, harassing, discriminatory, or otherwise objectionable content;
  • Your Contributions comply with all applicable laws and regulations.

Violations may result in removal of Contributions and suspension or termination of Site access.

Contribution License

By submitting Contributions, you grant the Site operator a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, reproduce, modify, adapt, publish, translate, distribute, perform, and display such Contributions throughout the world in any media.

Ownership of Contributions remains with the submitter. The Site operator disclaims all liability related to Contributions, and submitters agree to indemnify the Site operator for claims arising from them.

Guidelines for Reviews

If the Site provides a review or rating system, reviews must:

  • Reflect genuine experience;
  • Avoid profanity, abuse, discrimination, or illegal references;
  • Not be false, misleading, or deceptive;
  • Not be part of coordinated campaigns;
  • Not be posted by competitors with intent to harm.

The Site operator reserves sole discretion to accept, remove, or refuse reviews. Reviews do not represent the views of the Site operator. By submitting reviews, users grant a perpetual license to use them as described above.

Submissions

Any feedback, ideas, or suggestions submitted regarding the Site (“Submissions”) become the sole property of the Site operator and may be used for any purpose without obligation or compensation. Submitters warrant such Submissions are original or that they have the right to submit them.

Third-Party Websites and Content

The Site may contain links or references to third-party websites or content (“Third-Party Content”). The Site operator does not control or endorse such third-party sites or content and is not responsible for their accuracy, legality, or policies. Access and use of third-party sites are at the user’s own risk. Purchases or transactions through third-party sites are solely between the user and the third party.

Advertisers

The Site may host advertisements from third parties. Advertisers are solely responsible for their advertisements and any products or services offered therein. The Site operator disclaims all liability in connection with such advertisements.

Site Management

The Site operator reserves the right to monitor, restrict, or remove any Content or user contributions and to take appropriate legal action against violations of these Terms or applicable law. Access to the Site may be suspended or limited for operational or security reasons without liability.

Privacy Policy

Use of the Site is also governed by the Privacy Policy available at https://thewebonaut/privacy-policy, which is incorporated herein by reference. Data collected via the Site is processed in the Netherlands, and use of the Site constitutes consent to such data transfer.

Term and Termination

These Terms remain effective while the Site is used. Access may be terminated or suspended at any time without notice for any reason, including breach of these Terms. Circumvention of suspensions or terminations by creating new accounts is prohibited.

Modification and Interruptions

The Site operator may modify, suspend, or discontinue the Site or any features without prior notice. No liability is assumed for loss or inconvenience caused by downtime, interruptions, or modifications.

Governing Law

These Terms are governed by the laws of France, excluding the UN Convention on Contracts for the International Sale of Goods. Consumers within the EU retain protections afforded by local law. Disputes are subject to the non-exclusive jurisdiction of the courts of Paris, France.

Dispute Resolution

The parties agree to attempt informal negotiations for at least 30 days before initiating arbitration. Binding arbitration, if pursued, shall be conducted by a sole arbitrator under the rules of the European Court of Arbitration, seated in Paris, in English, governed by French law. Class actions and representative claims are excluded. Exceptions apply for intellectual property disputes, injunctive relief, and allegations of theft or piracy.

Corrections

The Site operator reserves the right to correct errors, inaccuracies, or omissions on the Site at any time without notice.

Disclaimer

THE SITE IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, ARE DISCLAIMED. ACCURACY OR COMPLETENESS OF SITE CONTENT OR THIRD-PARTY LINKS IS NOT GUARANTEED. USERS ASSUME ALL RISKS ASSOCIATED WITH USE OF THE SITE.

Limitations of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE OPERATOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. TOTAL LIABILITY SHALL NOT EXCEED ANY AMOUNTS PAID BY THE USER TO THE SITE OPERATOR.

Indemnification

Users agree to indemnify and hold harmless the Site operator and its affiliates, officers, agents, and employees from claims, damages, or expenses arising from breach of these Terms or use of the Site.

User Data

Users are responsible for backing up their data. The Site operator is not liable for any loss or corruption of data transmitted through the Site.

Electronic Communications

Users consent to receive electronic communications from the Site operator and agree that electronic signatures satisfy any legal requirements for written signatures.

California Users

For unresolved complaints, California users may contact the Complaint Assistance Unit of the California Department of Consumer Affairs.

Miscellaneous

These Terms constitute the entire agreement. Failure to enforce any provision is not a waiver. If any provision is invalid, the remainder shall remain in effect. No agency or partnership relationship is created. These Terms shall not be construed against the drafter. Defenses relating to electronic form or lack of signature are waived.
